1. Acceptance of the Use of IndustrialWebSearch.com (IWS) Terms and Conditions
1.1 By accessing, browsing, registering, or using industrialwebsearch.com (hereafter “IWS,” “Website,” “we,” “us,” or “our”), you (the “User,” “you,” or “your,” which includes both Buyers and Suppliers) acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions (“Terms”). Your access to and use of IWS are subject exclusively to these Terms, as well as all applicable laws and regulations.
1.2 If you do not agree to these Terms, you must immediately cease using the Website.
1.3 These Terms apply to all types of Users, including but not limited to:
(a) Suppliers: Entities or individuals who create and manage company profiles, pay membership fees, select and manage keyword phrases, and publish or update content related to their products or services on the Website.
(b) Buyers: Entities or individuals who browse, use, and/or register with the Website for free to search, view, or save supplier information.
2. Changes to the Website and Terms
2.1 IWS reserves the right, in its sole discretion and at any time, to modify, discontinue, or remove (temporarily or permanently) any portion of the Website or any feature, product, or service offered, without prior notice. You agree that IWS shall not be liable to you for any such modification, suspension, or discontinuation.
2.2 IWS may amend these Terms from time to time by posting an updated version on this page, indicating the date of the latest revision. Your continued use of the Website following any such changes shall constitute your acceptance of those changes. If you do not agree to any revisions, you must discontinue use of the Website.
3. Supplier Memberships and Buyer Registrations
3.1 Supplier Memberships: Suppliers may be required to pay a membership fee or subscription charge to access certain features of the Website, including but not limited to the ability to control keyword phrases associated with their company profiles and manage their company and contact information. Payment terms, including fees, billing cycles, renewal terms, and cancellation policies, will be set forth in separate agreements or order forms executed between Suppliers and IWS, or provided directly on the Website.
3.2 Buyer Registration: Buyers may register for an account on IWS at no cost. By registering, Buyers acknowledge that IWS will store certain personal and company information and that IWS may use such information to provide additional features such as saving supplier listings or facilitating introductions. Buyers agree to provide accurate and current information during registration and to promptly update their information if it changes.
3.3 IWS makes no guarantee of the results or leads generated from the use of the Website.
Suppliers and Buyers understand and agree that IWS is merely a platform to facilitate introductions and information exchange and is not responsible for the quality, suitability, safety, legality, or timeliness of any products, services, or interactions facilitated through the Website.
4. User Content and Conduct
4.1 User-Generated Content: Certain areas of the Website may allow Users to upload, post, or otherwise transmit text, images, links, or other materials (“User Content”). Users are solely responsible for the accuracy, legality, and appropriateness of their User Content.
4.2 By submitting User Content, you represent and warrant that:
(a) You have all necessary rights, licenses, and permissions to share such Content;
(b) Your Content does not violate any applicable laws or regulations, or the rights of any third party; and
(c) Your Content does not contain any defamatory, obscene, harassing, threatening, misleading, or otherwise objectionable material.
4.3 IWS reserves the right, without obligation, to monitor User Content and remove or refuse to post any User Content for any reason, including if, in IWS’s sole discretion, such User Content violates these Terms or is otherwise objectionable.
5. Intellectual Property Rights
5.1 All copyright, trademarks, trade secrets, and other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics, logos, images, software, and source code) are owned by or licensed to IWS, or otherwise used by IWS as permitted by applicable law.
5.2 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for its intended purposes. You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purpose any portion of the Website or content therein without the express written consent of IWS.

6.1 The Website may contain links to third-party websites, resources, or services not controlled or maintained by IWS.
6.2 Any link to third-party websites does not imply endorsement by IWS of those websites, their content, or their operators. You acknowledge and agree that IWS is not responsible or liable for the availability, accuracy, content, or policies of any such external sites or resources.

10. Force Majeure

11. Severability

12.2 You hereby submit to the exclusive jurisdiction of the federal and state courts located in that jurisdiction for the resolution of any disputes arising out of or in connection with these Terms or the Website.
13. Entire Agreement
13.1 These Terms, together with the Privacy Policy and any other legal notices published by IWS on the Website, constitute the entire agreement between you and IWS regarding your use of the Website and supersede any prior agreements, communications, representations, or understandings, whether oral or written.
